EzOCorporation, LLC – Terms of Service

 

1. Introduction

Welcome to EzOCorporation, LLC ("Company," "we," "us," or "our"). By purchasing our consulting and digital construction services, you ("Client," "you") agree to be bound by the terms outlined in this Terms of Service (TOS) agreement.

EzOCorporation, LLC provides consultation, digital construction, and integration services using the Wix platform and its associated plug-ins, features, and applications. Our services include the design, development, and optimization of digital spaces (websites, eCommerce stores, and web-based solutions) based on client requests.

By making a payment on our website, you acknowledge that you have read, understood, and agree to these terms.

2. Services Provided

EzOCorporation, LLC offers the following services:

  • Consultation Services: Advising on digital construction, website strategy, automation, and optimization.

  • Website Construction: Creating websites, online stores, and web-based platforms using the Wix ecosystem.

  • Integration & Customization: Implementing Wix plug-ins, features, and third-party applications for enhanced functionality.

  • Ongoing Support & Maintenance: Providing post-launch support, updates, and technical assistance.

Scope of Work

  • All services are project-based or hourly, as specified in the service agreement or invoice.

  • Custom development outside Wix’s capabilities may require additional agreements and third-party resources.

  • Work begins after payment is received as per the payment terms below.

3. Payment Terms & Fees

  • Payment Method: Payments are processed securely through Wix Payments, Stripe, PayPal, or other approved methods.

  • Pricing: Service fees are outlined in a custom proposal or displayed on our website. Pricing may vary based on project complexity.

  • Deposits & Upfront Fees:

    • A 50% non-refundable deposit is required before project commencement.

    • The remaining balance is due upon project completion or as per agreed milestones.

  • Late Payments: Payments not received within [3] days of the due date may be subject to a late fee of [10]% per month.

4. Refund & Cancellation Policy

  • Non-Refundable Services: Payments for consultation, digital construction, and development services are non-refundable once work has begun.

  • Cancellation Policy:

    • If the client cancels before work starts, the deposit is retained.

    • If the client cancels mid-project, fees for completed work remain due.

    • If EzOCorporation cancels the project, a partial refund may be issued based on completed work.

5. Client Responsibilities

Clients agree to:

  • Provide all necessary information, materials, and access for project completion.

  • Review and approve work within a reasonable timeframe.

  • Ensure compliance with Wix policies, licensing, and third-party application terms when requesting integrations.

  • Not hold EzOCorporation liable for platform restrictions, third-party limitations, or changes to Wix’s services.

6. Intellectual Property & Ownership

  • Client-Owned Assets: All content, logos, and media provided by the client remain the client’s property.

  • Work Product Ownership:

    • Upon full payment, clients own the final website (excluding third-party software and Wix-owned elements).

    • Custom-built components remain licensed to the client for use, but EzOCorporation retains the right to use general code and templates in future projects.

  • Credit & Portfolio Use: EzOCorporation may showcase completed work in its portfolio unless the client requests confidentiality.

7. Warranty & Limitations of Liability

  • No Guarantees: We do not guarantee specific results (e.g., website traffic, sales, or performance).

  • Wix & Third-Party Limitations: EzOCorporation is not liable for Wix outages, software bugs, security issues, or third-party plug-in failures.

  • Data Responsibility: Clients are responsible for backing up their content and data.

  • Service Downtime: We are not liable for downtime due to platform maintenance, server issues, or external attacks.

8. Dispute Resolution

  • Any disputes will first be handled through written communication and negotiation.

  • If unresolved, disputes will be settled through binding arbitration in West Virginia, following the laws of Wes Virginia.

9. Amendments & Updates

EzOCorporation reserves the right to update these Terms of Service at any time. Clients will be notified of major changes affecting service agreements. Continued use of our services after updates constitutes acceptance of the revised terms.
